TERMS AND POLICY
Terms and Conditions for Sales to Wholesale Customers
All sales to wholesale customers (each of which is a “Customer”) by 7-Hobby USA Inc. (“7-Hobby”) are subject to these terms and conditions.
Customer agrees that any order for 7-Hobby products shall conclusively be deemed to constitute Customer’s acceptance of these terms and conditions. Each shipment of products by 7-Hobby shall be deemed a separate and independent transaction, and no sale of products by 7-Hobby shall obligate 7-Hobby to continue the sale of products or services to Customer. 7-Hobby may modify these terms and conditions at anytime without notice to Customer provided that no such modification shall apply in respect of any order for products which has been accepted by 7-Hobby. Customer agrees that all prior performance, courses of dealing and industry practices are excluded and shall not apply to the purchase of any 7-Hobby products or be used to waive, modify, vary, explain, or supplement all or any part of this agreement and are hereby objected to and rejected by 7-Hobby.
2. Cancellation of Order
Customer may cancel all or part of an order without penalty up to 30 days from pre order date of the date provided to Customer by 7-Hobby, after which any cancellation or reduction of an order shall be subject, in 7-Hobby’s sole discretion, to a cancellation fee equal to fifteen percent (15%) of the price of the cancelled items. This charge will be invoiced separately and must be paid before the remainder of the order, if any, or any new order will be fulfilled. 7-Hobby reserves the right to cancel or reduce an order at any time prior to its shipment upon notice to Customer if 7-Hobby deems that shipment of the order is not in its best interests.
3. Price and Payment
The price of an order does not include shipping charges. Shipping charges plus any tax, duty, fee or charge of any nature whatsoever imposed by any governmental authority on or measured by the transaction between 7-Hobby and Customer shall be paid by Customer in addition to the quoted price and, if for any reason is paid by 7-Hobby, such charges will be invoiced separately. Unless specified otherwise in writing by 7-Hobby, payment for an order in full in U.S. Dollars is required on or before shipping.
Any account that has not placed an order within a 12 month period will be closed and will then have to re-qualify and must meet the current requirements in order to receive wholesale pricing.
Wholesale status cannot be transferred from one store to another. If your store changes ownership the new store owner must fill out and submit the appropriate paperwork to qualify for wholesale pricing.
4. Delivery and Shipping
Delivery of goods by 7-Hobby shall be made at customer’s place of business or such other place as Customer shall direct in writing. Goods must be accepted by Customer when tendered by
7-Hobby. Risk of loss or damage in transit shall pass to Customer upon such delivery of the goods to Customer. Customer shall carefully inspect all deliveries of products upon receipt of the shipment and report to 7-Hobby promptly any alleged error, shortage, defect or nonconformity of such
5. Return & Damage
No merchandise may be returned to 7-Hobby without our prior written authorization. Merchandise that is authorized by us to be returned must be returned within forteen (14) days of the date of the authorization form, or the merchandise will be refused and you will be responsible for all costs incurred by you, third parties and us. Damaged and defective merchandise authorized by us for return must be returned to our warehouse accompanied with the authorization number we provide. All merchandise returned without our prior authorization or sent collect will be refused by us and returned to you at your sole expense. We reserve the right to replace returned merchandise or, if no stock is available, to credit your account. Failure to provide adequate notice and follow these procedures constitutes an irrevocable waiver of your right to return and refund. When possible please use original packaging or comparable for returning damaged items.
Product Damaged in Re-Shipment
We recommend that retailers who are re-shipping product to their customers verify that the items shipped are undamaged before shipping. 7-Hobby will not be held responsible for replacing damaged items that have been re-shipped by its retailers and damaged during shipping from the retailer to their end customer. If items shipped to your customers are damaged in shipping, you will need to file a claim with your shipping company.
